These Terms & Conditions ("Terms") govern your access to and use of services provided by Ashutosh Digital Media. Please read them carefully. By using our services you agree to these Terms. Effective date: 1 July 2026.

- "Service" — The suite of offerings provided by Ashutosh Digital Media, including AI photo-to-video production, editing, and delivery.
- "Client" — The individual or entity that purchases or uses the Service (may also be referred to as "you" or "your").
- "Content" — Any images, audio, text, video, or other materials provided by the Client or generated by the Service.
- "Deliverables" — Final media files and assets delivered to the Client following completion of an order.

Use of Service
Permitted Uses
Clients may use Deliverables for lawful business and promotional purposes, subject to these Terms and any license limitations included with the Deliverables.
Examples: social media, websites, presentations (subject to any rights cleared or granted).
Prohibited Conduct
You may not use the Service or Deliverables to create content that is unlawful, defamatory, pornographic, hateful, or that infringes the rights of others. Automated misuse or attempts to reverse-engineer proprietary AI components are prohibited.
Examples: impersonation, illegal activities, or distributing Deliverables as a competing product.
Account & Responsibilities
You are responsible for supplying accurate source materials, obtaining any third-party permissions necessary for your Content, and ensuring that the Content you submit does not violate rights of others. We reserve the right to refuse or remove Content that violates policy.

Payment & Refunds
All fees are stated in the order confirmation. Unless otherwise agreed, payments are due in accordance with the billing schedule on your invoice. Failure to pay may result in suspension of Services.
Pricing and Billing
Prices exclude applicable taxes. We may offer different pricing tiers; discounts and packages are non-transferable unless expressly stated in writing. Billing queries should be directed to billing@ashutoshdigitalmedia.com.
Refund Policy & Disputes
Refund eligibility is described in our Refund Policy. Generally, refunds are not available for completed Deliverables that meet the agreed specification. If you believe your Deliverable does not meet the specification, you must notify us within 14 days of delivery with details.
Disputes should be escalated via email to support@ashutoshdigitalmedia.com and will be handled per our internal dispute resolution process.
Intellectual Property
Ownership
Unless otherwise agreed in writing, Clients retain ownership of their pre-existing Content. Ashutosh Digital Media retains ownership of underlying technology, models, and any pre-existing proprietary materials used to produce Deliverables.
License Grant
Upon full payment, we grant you a non-exclusive, worldwide license to use the Deliverables for the purposes specified in your order. This license does not transfer ownership of our underlying technology or third-party licensed components.
When a Client provides third-party materials (e.g., a licensed song or stock asset), the Client warrants that they have the rights to authorize the use. If additional licensing is required, the Client is responsible for obtaining and paying for such licenses unless otherwise agreed.
Disclaimers & Liability

Warranty Disclaimer — To the fullest extent permitted by law, the Service and Deliverables are provided "as is" and "as available" without warranties of any kind, express or implied.
We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components.

Limitation of Liability — Except where prohibited by applicable law, Ashutosh Digital Media's total aggregate liability under these Terms will not exceed the amount actually paid by you for the specific Service giving rise to the claim in the 12 months preceding the claim.
We will not be liable for indirect, incidental, special, punitive or consequential damages.
- Caps & Exceptions — Liability caps and exclusions do not apply to gross negligence, willful misconduct, or claims arising from death or bodily injury to the extent applicable law prohibits such limitations.
Indemnification
You agree to indemnify and hold harmless Ashutosh Digital Media and its affiliates, officers, agents, and employees from any third-party claims, liabilities, damages, or costs (including reasonable legal fees) arising out of your breach of these Terms, your Content, or your use of the Service.

Termination & Suspension
Termination Rights
We may suspend or terminate your access to the Service for violations of these Terms or any applicable laws, or for non-payment. Clients may terminate by providing written notice per their order terms.
Effect of Termination
Upon termination your right to use Deliverables may be limited as specified in your license. Termination will not relieve you of obligations incurred prior to termination, such as payment obligations or indemnities.
- Review license scope for any continued permitted uses.
- Secure backups of Deliverables if your license permits continued access.
- Close any active billing arrangements or subscriptions.
Governing Law, Contact & Updates
Governing Law
These Terms are governed by the laws of the jurisdiction in which Ashutosh Digital Media is registered, without regard to conflict of laws principles. Any disputes will be handled in the competent courts of that jurisdiction to the extent permitted by law.
Changes to Terms
We may update these Terms from time to time. Material changes will be communicated via the email address on file or by posting a prominent notice on our website. Continued use following notice constitutes acceptance of the updated Terms.
